1) Acceptance
By using Your AI Voice Assistant (the “Service”), you agree to these Terms and our Privacy Policy. If you are using the Service on behalf of a company, you represent that you have authority to bind that company.
2) Eligibility & Accounts
- Business-use only (B2B). You must be at least 18.
- You are responsible for account access, passwords, and keeping your information accurate.
3) Fees, Billing & Taxes
- Name Your Price (Annual): Your subscription price is agreed in writing. A 50% down payment may be required for custom onboarding; balance due upon go-live.
- Usage & Add-ons: per-minute voice usage; per-number monthly fees; optional recording storage; optional AI SMS add-ons; and any carrier/regulatory fees (e.g., A2P 10DLC).
- Taxes & Surcharges: You are responsible for applicable taxes, carrier pass-through fees, and surcharges.
- Late/Failed Payments: We may suspend or limit the Service for non-payment.
- Changes: We may update rates for pass-through costs on notice; subscription changes apply on renewal or as otherwise agreed.

4) Use of Service & Call Recording
- You determine your call-flow, greetings, and recording preferences. You are responsible for complying with federal, state, and local laws—including any one-party or two-party consent requirements for recordings.
- Recordings and transcripts are provided for your business use; you must store, share, and delete them responsibly.
- You will not use the Service to violate privacy rights, misrepresent identity, or impersonate others.
5) Messaging & A2P 10DLC
- To send business SMS/MMS, carriers require A2P 10DLC brand and campaign registration. You agree to provide accurate information and pay related fees.
- You must honor opt-in, STOP, and HELP keywords and only send compliant content. Carriers may filter or block non-compliant traffic.
6) Fair Use & Prohibited Conduct
- No spam, scams, fraud, harassment, illegal content, or high-risk abuse (e.g., lead-gen spam, snowshoeing, spoofing caller ID).
- No reverse engineering or interference with the Service.
- We may throttle, block, or suspend abusive or harmful use.
7) Third-Party Services
The Service integrates with telephony, transcription, storage, analytics, and payments. Your use of third-party offerings may be subject to their terms.
8) IP, Feedback & License
- We retain all rights to the Service and underlying technology.
- You grant us a limited, non-exclusive license to process your content solely to provide and improve the Service.
- Feedback is voluntary and may be used without obligation.
9) Privacy & Security
We handle data per our Privacy Policy. You are responsible for lawful collection and use of end-user data within your organization.
10) No Emergency Calling
The Service is not a 911 or emergency service. Do not use it to contact emergency responders.
11) Availability, Changes & Beta
- We strive for reliable operation but do not guarantee uninterrupted availability.
- We may modify or discontinue features with reasonable notice when practical.
- Beta/experimental features are provided “as is” and may change or end at any time.
12) Disclaimers
AS IS / AS AVAILABLE. We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. You are responsible for your compliance and outcomes.
13) Limitation of Liability
To the fullest extent permitted by law, we are not liable for indirect, incidental, special, consequential, punitive, or lost profits. Our total liability for any claim is limited to the fees you paid in the 12 months preceding the event or $500, whichever is greater.
14) Indemnification
You will defend, indemnify, and hold us harmless from claims arising out of your content, your use of the Service, or your violation of these Terms or law.
15) Term, Suspension & Termination
- These Terms apply while you use the Service. Either party may terminate per the applicable order/agreement.
- We may suspend or terminate for breach, non-payment, or risk to the Service.
- Upon termination, access ends; we may retain limited backups/logs as required for lawful purposes. You may request export/deletion where feasible.
16) Governing Law & Disputes
Florida law governs these Terms, without regard to conflicts principles. Venue is the state or federal courts located in Pinellas County, Florida. You consent to jurisdiction there.
17) General
- Updates: We may update these Terms; material changes will be posted with a new Effective Date.
- Assignment: You may not assign without our consent; we may assign as part of a merger or sale.
- Severability: If any provision is unenforceable, the remainder remains in effect.
- Notices: We may notify you via email, portal, or site posting.
